1. Agreement to Terms

By accessing or using FlowBoard ("Service"), operated by FlowBoard Labs, LLC, a Delaware limited liability company ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

FlowBoard is a project management and collaboration platform that allows teams to:

  • Create and manage workspaces
  • Organize tasks, ideas, and projects
  • Collaborate with team members
  • Track progress and generate reports

3. Account Registration

To use FlowBoard, you must:

  • Be at least 16 years old
  • Provide accurate and complete information
  • Maintain the security of your account
  • Accept responsibility for all activities under your account

4. Subscription Plans and Payment

4.1 Plans

FlowBoard offers the following plans:

  • Trial Plan: 30-day free trial with full access (no credit card required)
  • Free Plan: Limited features, 1 active workspace
  • Pro Plan: Full access, unlimited workspaces, AI-powered features, as displayed on our pricing page

Additional plans, including Enterprise plans, may be available in the future. Current pricing is displayed on our website and may be updated from time to time with notice. All prices are in USD unless otherwise stated.

4.2 Payment

Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected plan.

4.3 Billing Cycle

Subscriptions are billed monthly in USD. Your subscription will automatically renew unless cancelled. You will be charged on the same day each month based on your subscription start date.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

5.2 Refunds

We do not offer refunds for partial billing periods. If you cancel, you will continue to have access until the end of your current billing period. No refunds will be provided for the unused portion of your subscription period.

This policy complies with EU consumer protection laws for digital services, which allow businesses to exclude refunds for digital content when the consumer has consented to immediate performance and acknowledged loss of withdrawal rights.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful code, viruses, or malware
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service
  • Harass, abuse, or harm other users
  • Share your account credentials
  • Use automated systems to access the Service without permission
  • Abuse smart features or AI-powered features in a way that degrades service performance for other users
  • Reverse engineer, decompile, or disassemble any part of the Service

7. User Content

You retain ownership of all content you create or upload to FlowBoard ("User Content"). By using the Service, you grant us a non-exclusive, worldwide, royalty-free license, limited solely to the purpose of operating and providing the Service, to:

  • Store, process, and display your User Content
  • Provide technical support and maintenance
  • Backup and restore your data
  • Process your content through AI features you choose to use (e.g., changelog generation, user story generation)

This license terminates when you delete your User Content or your account, except as required for backup retention or legal compliance. We do not use your User Content for advertising, training AI models, or any purpose other than providing the Service.

You are responsible for ensuring your User Content does not violate any laws or third-party rights.

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by FlowBoard Labs, LLC and protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

9. Account Termination

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay subscription fees
  • Abuse the Service or other users

Upon termination, your right to use the Service will immediately cease. We may delete your account and data, subject to our data retention policies.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLOWBOARD LABS, LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, punitive, or consequential damages
  • Loss of profits, data, goodwill, or business opportunities
  • Service interruptions or unavailability
  • Errors or omissions in the Service
  • Damages arising from third-party services (including but not limited to Firebase, Stripe, OpenAI, or Google)
  • Damages resulting from unauthorized access to or alteration of your data
  • Any matter beyond our reasonable control

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU ACTUALLY PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING NEGLIGENCE, CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12. Indemnification

You agree to indemnify, defend, and hold harmless FlowBoard Labs, LLC, its members, managers, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees and legal costs) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your User Content; or (e) your infringement of any rights of any third party.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Sending an email notification to your registered email address
  • Displaying a notice in the Service

We will provide at least 30 days' notice before material changes take effect. If you do not agree to the changes, you may cancel your subscription before the changes take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through the state or federal courts located in the State of Delaware, United States. You consent to the personal jurisdiction of such courts.

If you are a consumer resident in the European Union, you benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law, including rights under the General Data Protection Regulation (GDPR). You may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

15. Service Availability

We strive to maintain the availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We are not liable for any downtime, data loss, or service degradation caused by third-party infrastructure providers (including Firebase, Google Cloud Platform, Stripe, or other vendors), internet outages, or other factors outside our reasonable control.

16. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from events beyond our reasonable control, including but not limited to: natural disasters, acts of government, war, terrorism, pandemics, power failures, internet or telecommunications failures, cyberattacks, third-party service outages, or labor disputes.

17. General Provisions

Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and FlowBoard Labs, LLC regarding the use of the Service and supersede all prior agreements, representations, and understandings.

No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by us.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Headings: Section headings are for convenience only and shall not affect the interpretation of these Terms.
